Thank you for using Elizah.

These Terms of Service govern your access to and use of the Elizah platform, website, chat widget, plugins, dashboards, and related services.

Elizah is a conversational AI recruiter assistant designed to help agencies, recruiters, employers, and hiring teams streamline recruitment workflows, communicate with candidates, collect candidate information, assist with screening, and improve the hiring process.

By accessing or using Elizah, you agree to these Terms. If you do not agree, you must not use the service.


1. Definitions

For the purposes of these Terms:

“Elizah,” “we,” “us,” or “our” refers to the legal entity operating the Elizah platform which is 16462677 CANADA INC.

“Platform” means the Elizah web application, chatbot, plugin, widget, dashboard, APIs, and related services.

“Agency,” “Recruiter,” “Client,” or “Employer” means an organization or authorized user using Elizah to manage recruitment activities.

“Candidate” means an individual interacting with Elizah through a chatbot, careers page, embedded widget, or other recruitment-related feature.

“User” means any recruiter, agency representative, employer, candidate, visitor, or other person using Elizah.

“Candidate Data” means information submitted by or about candidates, including résumés, contact details, work history, certifications, answers to screening questions, and related recruitment information.


2. Acceptance of Terms

By creating an Elizah account, using the Elizah platform, interacting with the Elizah chatbot, submitting information through an Elizah widget, or otherwise accessing the service, you agree to be bound by these Terms and our Privacy Policy.

Recruiters and agencies agree to these Terms when creating or using an Elizah account.

Candidates agree to these Terms when interacting with the Elizah chatbot, submitting an application, uploading a résumé, answering questions, or using any Elizah-powered recruitment feature on a client website.


3. Description of Service

Elizah provides AI-powered recruitment assistance, including but not limited to:

  • Candidate conversations through a chatbot or widget
  • Résumé/CV parsing and information extraction
  • Candidate screening and qualification workflows
  • Job matching and job recommendation assistance
  • Candidate follow-up reminders
  • Recruiter notifications
  • Recruitment analytics and workflow support
  • Integrations with client websites, job boards, calendars, ATS platforms, CRMs, and other tools where applicable

Elizah is designed to support the recruitment process. It does not replace human recruiter judgment, legal hiring obligations, or final employment decisions.


4. Recruiter and Agency Terms

This section applies to recruiters, agencies, employers, hiring teams, and other organizations using Elizah.

4.1 Account Registration

To use certain parts of Elizah, recruiters or agencies may be required to create an account.

You agree to provide accurate, complete, and up-to-date account information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately if you suspect unauthorized access to your account.

4.2 Authorized Use

Recruiters and agencies may use Elizah only for legitimate recruitment, hiring, staffing, candidate engagement, and related business purposes.

You may not use Elizah for unlawful, discriminatory, misleading, abusive, or unrelated purposes.

4.3 Responsibility for Recruitment Decisions

Elizah may assist with screening, organizing information, summarizing candidate profiles, asking questions, matching candidates to roles, or providing AI-generated insights.

However, all hiring decisions remain the sole responsibility of the recruiter, agency, employer, or hiring organization.

You are responsible for reviewing candidate information, complying with applicable employment laws, and ensuring that your hiring practices are fair, lawful, and non-discriminatory.

4.4 Candidate Communications

By using Elizah, recruiters and agencies authorize Elizah to communicate with candidates on their behalf through the chatbot, email, SMS, or other enabled communication channels.

These communications may include, but are not limited to:

  • Application confirmations
  • Abandoned application reminders
  • Meeting or interview reminders
  • Job-related follow-ups
  • Candidate qualification questions
  • Notifications related to recruitment workflow events

Recruiters and agencies are responsible for ensuring they have the necessary authority, consent, and legal basis to communicate with candidates through Elizah.

4.5 Recruiter Notifications by Email and SMS

By creating and using an Elizah account, recruiters and agency users agree that Elizah may send email and SMS notifications related to recruitment events and account activity.

These notifications may include, but are not limited to:

  • A candidate applying for a job
  • A candidate scheduling a call or meeting
  • A candidate completing a screening process
  • A candidate uploading a résumé
  • A candidate abandoning or resuming an application
  • Important account, usage, billing, or system notifications

Notification preferences may be adjusted in the user’s settings where available. Some critical account, security, or billing-related messages may still be sent even if optional notifications are disabled.

Users may opt out of SMS notifications where supported, including by replying “STOP” when applicable.

4.6 Client Content and Data

Recruiters and agencies may upload or provide content to Elizah, including job descriptions, company information, screening questions, candidate records, logos, brand assets, and integration details.

You represent that you have the right to provide this content to Elizah and authorize us to process it for the purpose of delivering the service.

You retain ownership of your content and data. Elizah does not claim ownership over candidate data, agency data, job postings, or uploaded client materials.

4.7 Data Accuracy

Elizah may generate summaries, classifications, recommendations, or structured outputs based on candidate conversations, uploaded résumés, job descriptions, and other provided information.

While we aim to provide accurate and useful outputs, AI-generated content may contain errors, omissions, or incomplete interpretations.

Recruiters and agencies are responsible for reviewing and verifying all important information before relying on it.


5. Candidate Terms

This section applies to candidates and individuals interacting with Elizah through a chatbot, widget, careers page, job application flow, or other recruitment feature.

5.1 Candidate Use of Elizah

Candidates may use Elizah to:

  • Ask questions about jobs
  • Apply for roles
  • Upload a résumé or CV
  • Answer screening questions
  • Provide contact information
  • Receive reminders or follow-ups
  • Schedule or request recruitment-related calls or meetings

By using the Elizah chatbot or plugin features, candidates agree to these Terms and acknowledge that Elizah processes their information to support the recruitment process for the relevant agency or employer.

5.2 Candidate Notifications and Reminders

By interacting with Elizah, candidates agree that they may receive recruitment-related messages, reminders, or notifications by email, SMS, chatbot, or other available channels.

These may include, but are not limited to:

  • Application reminders
  • Abandoned application follow-ups
  • Meeting or interview reminders
  • Job-related updates
  • Requests to complete missing information
  • Follow-ups from the recruiting agency or employer

Candidates may opt out of SMS notifications where supported, including by replying “STOP” when applicable.

Candidates who wish to correct, delete, or access their information should contact the recruiting agency or employer responsible for the recruitment process.

5.3 Candidate Information

Candidates agree to provide accurate and truthful information when using Elizah.

Candidates should not submit false, misleading, fraudulent, unlawful, or third-party information that they do not have permission to share.

Candidates should avoid submitting sensitive personal information unless it is specifically relevant and requested for the recruitment process.

5.4 No Guarantee of Employment

Using Elizah, applying through Elizah, or being matched to a role does not guarantee an interview, job offer, employment, contract, placement, or response from a recruiter.

Hiring decisions are made by the recruiting agency, employer, or hiring organization, not by Elizah.


6. Acceptable Use

You agree not to misuse Elizah or use the platform in a way that could harm Elizah, other users, candidates, agencies, employers, or third parties.

You must not:

  • Use Elizah for unlawful, fraudulent, abusive, or discriminatory purposes
  • Upload malicious code, viruses, or harmful files
  • Attempt to gain unauthorized access to accounts, systems, data, or infrastructure
  • Scrape, copy, reverse engineer, or exploit the platform without authorization
  • Interfere with the security, availability, or performance of the service
  • Use Elizah to send spam, harassment, or unauthorized communications
  • Submit false, misleading, or impersonated information
  • Use Elizah to collect data for advertising, resale, profiling, or unrelated purposes
  • Circumvent usage limits, billing systems, authentication, or access controls
  • Use Elizah in violation of employment, privacy, anti-spam, or anti-discrimination laws

We reserve the right to suspend or terminate access if we believe these Terms have been violated.


7. Artificial Intelligence Disclaimer

Elizah uses artificial intelligence and automation to assist with recruitment workflows.

AI-generated outputs may be inaccurate, incomplete, outdated, biased, or unsuitable for a specific situation. The platform may misinterpret résumés, candidate answers, job requirements, or recruiter instructions.

Recruiters, agencies, and employers must review AI-generated outputs before using them for important decisions.

Elizah does not provide legal, immigration, employment law, HR compliance, or professional hiring advice. Any AI-generated information should not be treated as legal or professional advice.


8. Integrations and Third-Party Services

Elizah may integrate with or rely on third-party services, including but not limited to:

  • AI model providers
  • Cloud hosting providers
  • File storage services
  • Calendar tools
  • Email and SMS providers
  • ATS, CRM, or job board systems
  • Document parsing services

Use of third-party services may be subject to their own terms, policies, availability, and limitations.

We are not responsible for third-party service outages, errors, delays, changes, or data handling practices outside our control.


9. Fees, Free Trial, and Payment Terms

9.1 Free Trial

Elizah may offer a free trial period, currently one month, unless otherwise agreed in writing.

During the free trial, users may access the platform without payment, subject to any usage limits or restrictions communicated by Elizah.

At the end of the free trial, continued use of Elizah requires payment.

9.2 Monthly Billing

After the free trial, Elizah is billed in monthly billing cycles based on usage, subscription level, or other agreed pricing terms.

Usage may include, but is not limited to:

  • Candidate conversations
  • AI processing
  • Résumé parsing
  • Notifications
  • Job matching
  • Platform activity
  • Integrations or other enabled features

Recruiters and agencies can track usage and billing information in their Usage & Billing tab in their profile, where available.

9.3 Payment Responsibility

Clients are responsible for paying all applicable fees, taxes, and charges associated with their use of Elizah.

Failure to pay may result in suspension, limitation, or termination of access to the platform.

9.4 Pricing Changes

We may update pricing, usage limits, or billing terms from time to time. If pricing changes materially affect existing clients, we will provide notice by email or through the platform.


10. Cancellation and Termination

10.1 Cancellation by Client

Recruiters and agencies may cancel their Elizah account or subscription at any time.

Cancellation may take effect at the end of the current billing cycle unless otherwise agreed.

10.2 Termination or Suspension by Elizah

We may suspend or terminate access to Elizah at any time if:

  • You violate these Terms
  • You fail to pay applicable fees
  • Your use creates security, legal, operational, or reputational risk
  • You misuse the platform
  • We are required to do so by law
  • We discontinue the service or part of the service

10.3 Termination Without Cause

Either party may cancel or terminate the service at any time, with or without cause, subject to any outstanding payment obligations.

10.4 Effect of Termination

Upon termination, your right to access and use Elizah will end.

Certain provisions of these Terms will continue to apply after termination, including provisions related to payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, and governing law.


11. Intellectual Property

Elizah and its platform, software, design, workflows, AI prompts, models, interfaces, logos, branding, features, code, documentation, and related materials are owned by Elizah or its licensors.

These Terms do not grant users any ownership rights in Elizah’s intellectual property.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on Elizah without written permission.

Recruiters and agencies retain ownership of their own content, including job postings, company information, brand assets, candidate data, and uploaded materials.

By providing content to Elizah, you grant us a limited license to use, process, store, display, and transmit that content solely to provide and improve the service.


12. Confidentiality

Recruiters and agencies may receive access to non-public features, technical details, pricing, workflows, candidate information, or business information through Elizah.

You agree to keep confidential information secure and not disclose it except as needed for authorized recruitment activities.

Elizah will also take reasonable steps to protect confidential client and candidate information, as described in our Privacy Policy.


13. Privacy and Data Protection

Our handling of personal information is described in our Privacy Policy.

By using Elizah, you agree that we may collect, process, store, and transmit data as described in the Privacy Policy and as necessary to provide the platform.

Recruiters and agencies are responsible for ensuring that their use of Elizah complies with applicable privacy, employment, anti-spam, and data protection laws.

Candidates should contact the recruiting agency or employer responsible for the job opportunity if they wish to access, correct, or delete their information.


14. Security

We use reasonable technical and organizational measures to protect the platform and user data.

However, no system is completely secure. We cannot guarantee that unauthorized third parties will never defeat our security measures.

Users are responsible for protecting their login credentials and using secure devices, networks, and account practices.

You must notify us immediately if you suspect unauthorized access, data misuse, or a security issue involving Elizah.


15. Service Availability

We aim to keep Elizah reliable and available, but we do not guarantee uninterrupted or error-free service.

The platform may be unavailable from time to time due to maintenance, updates, third-party outages, technical failures, security issues, or events outside our control.

We are not liable for losses caused by downtime, delays, service interruptions, or loss of access.


16. Disclaimers

Elizah is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

We do not guarantee that:

  • Elizah will be uninterrupted, secure, or error-free
  • AI-generated outputs will always be accurate or complete
  • Candidates will complete applications
  • Recruiters will respond to candidates
  • Candidates will be hired or placed
  • The platform will meet every business, legal, or compliance requirement
  • Third-party integrations will remain available or unchanged

You use Elizah at your own discretion and risk.


17. Limitation of Liability

To the maximum extent permitted by law, Elizah will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost data, reputational harm, or recruitment outcomes.

To the maximum extent permitted by law, Elizah’s total liability for any claim arising out of or relating to these Terms or the use of the platform will not exceed the amount paid by the client to Elizah in the three months before the claim arose.

If no amount was paid, Elizah’s total liability will be limited to CAD $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply.


18. Indemnification

Recruiters, agencies, and employers agree to indemnify and hold harmless Elizah from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Their use of the platform
  • Their recruitment or hiring decisions
  • Their violation of these Terms
  • Their violation of applicable laws
  • Their communications with candidates
  • Content or data they provide to Elizah
  • Claims made by candidates, employees, contractors, regulators, or third parties related to their recruitment activities

19. Compliance with Laws

Users are responsible for complying with all laws applicable to their use of Elizah.

This may include laws related to:

  • Privacy and data protection
  • Employment and hiring
  • Human rights and anti-discrimination
  • Electronic communications
  • Anti-spam and SMS consent
  • Consumer protection
  • Data retention
  • Cross-border data transfers

Elizah is a tool that supports recruitment workflows. It does not relieve users of their legal obligations.


20. Changes to the Terms

We may update or modify these Terms from time to time.

If we make material changes, we will notify affected users by email, through the platform, or by other reasonable means before the changes take effect.

Continued use of Elizah after updated Terms become effective means you accept the updated Terms.

If you do not agree to the updated Terms, you must stop using Elizah.


21. Governing Law

These Terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict of law principles.

Any disputes arising from or relating to these Terms or the use of Elizah will be handled in the courts located in Ontario, Canada, unless otherwise required by applicable law.
